Terms of Payment付款<span style="color: black;">要求</span></span><span style="color: black;">Payment: The Buyer shall issue an irrevocable letter of credit payable at 90 days after B/L date in favor of the Seller within 10 days after signing of the contract, negotiable at any bank against following documents:</span><span style="color: black;">付款方式：合同<span style="color: black;">签定</span>后10日内，买方应开立以卖方为受益人的不可撤销的90天远期信用证，<span style="color: black;">按照</span>以下单证进行议付：</span><span style="color: black;">（1）Full set of Clean on board bill of lading, made out to order and blank endorsed, marked freight payable as per charter party.</span><span style="color: black;">全套清洁提单，提单<span style="color: black;">表示</span>to order,空白背书，运费支付<span style="color: black;">根据</span>租船合同。</span><span style="color: black;">(2) Commercial invoice signed by Seller in one original.</span><span style="color: black;">卖方签署的<span style="color: black;">商场</span>发票正本一份。</span><span style="color: black;">（3）Certificate of Quality issued by SSS Testing Services Philippines, fax or photo copy acceptable.</span><span style="color: black;">菲律宾SSS 出具的品质报告一份，传真或扫描件可接受。</span><span style="color: black;">(4) Certificate of Weight issued by SSS Testing Services Philippines in one copy, fax or photo copy acceptable.</span><span style="color: black;">菲律宾SSS 出具的重量报告一份，传真或扫描件可接受。</span><span style="color: black;">8. Shipment: Before 30th July, 2015 船期：2015年7月30日前</span><span style="color: black;">9.Sampling assay 品质检验</span><span style="color: black;">The inspection result at loading port according to the Certificate of Quality and Certificate of Weight issued by SSS Testing Services Philippines will be final.</span><span style="color: black;">菲律宾SSS签发的质量报告和重量报告会是货物品质的决定。</span><span style="color: black;">10. Delivery 交付</span><span style="color: black;">(1) Seller shall inform Buyer of the shipment of the cargo by writing for Buyer</span><span style="color: black;">卖方必须于发货后书面形式<span style="color: black;">通告</span>买方。</span><span style="color: black;">（2） Laytime for discharging shall commence 12 hours after the NOR is tendered.</span><span style="color: black;">卸船时间从递交NOR后12小时<span style="color: black;">起始</span>计算。</span><span style="color: black;">（3）Unloading rate is 12,000 mt per Weather Working Day(including holidays). DEMURRAGE RATE USD 9500 PDPR. DISPATCH HALF DEMURRAGE WTS AND PRO-RATA. FOR EACH SHIPMENT, DEMURRAGE/DESPATCH IF ANY TO BE SETTLED W/I 10 BANKING DAYS AFTER COMPLETION OF DISCHARGING. DEM/DES SHALL BE CALCULATED/SETTLED AGAINST ALL RELEVANT SUPPORTING DOCUMENTS SUCH AS NOTICE OF READINESS/TIME SHEET/STATEMENT OF FACT.</span><span style="color: black;">卸率为12，000吨/晴天（含节假日）；滞期费率为<span style="color: black;">每日</span>9500美元，速遣费率为滞期费率的一半，不足一天按比例计算。滞期速遣将于卸货完成后10个工作日结算。</span><span style="color: black;">11. Non-delivery or deferred delivery 不交货或者迟延交货</span><span style="color: black;">In the event of failure to affect delivery, due to a cause for which seller or buyer is responsible, the cost and expenditure thereof should be undertaken by responsible party.</span><span style="color: black;"><span style="color: black;">由于</span>卖方<span style="color: black;">或</span>买方<span style="color: black;">原由</span><span style="color: black;">引起</span><span style="color: black;">不可</span>交货，产生的<span style="color: black;">关联</span><span style="color: black;">花费</span>和损失由责任方承担。</span><span style="color: black;">12. Force Majeure不可抗力</span><span style="color: black;">Force Majeure： The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of any force majeure incidents.</span><span style="color: black;">不可抗力：本合同内所述<span style="color: black;">所有</span>或部分货物，如因不可抗力的<span style="color: black;">原由</span>，<span style="color: black;">导致</span><span style="color: black;">不可</span>履约或不得不延期交货，卖方概不负责。</span><span style="color: black;">13. Arbitration 仲裁</span><span style="color: black;">Arbitration ： Any or all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties ， failing which they shall be submitted for arbitration，The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding upon both Buyer and seller. Unless otherwise awarded by the said arbitration commission， the arbitration fees shall be borne by the Losing party.</span><span style="color: black;">仲裁：在执行本合同中所<span style="color: black;">出现</span>的<span style="color: black;">或</span>与合同<span style="color: black;">相关</span>的一切争执，由双方协商<span style="color: black;">处理</span>。<span style="color: black;">倘若</span>协商后仍<span style="color: black;">不可</span><span style="color: black;">处理</span>时，得提请仲裁。仲裁在中国进行，由中国国际经济贸易仲裁委员会，<span style="color: black;">按照</span>该委员会的仲裁程序规则进行仲裁。仲裁裁决为<span style="color: black;">最后</span>决定，买卖双方都应服从。 除仲裁委员会另有决定外，仲裁<span style="color: black;">花费</span>由败诉一方<span style="color: black;">包袱</span>。</span><span style="color: black;">14. Amendments and Waivers 修改和弃权</span><span style="color: black;">No amendments, variation, addition or substitution to or for this agreement shall be of any force or effect unless such amendments, variation, addition or substitution is in writing. Any waiver must be made in writing.</span><span style="color: black;">除非有双方书面认可的修改或弃权，否则所有修改或弃权均无约束力。任何弃权均需书面确认。</span></p>

Confidentiality 保密条款</span><span style="color: black;">The parties acknowledge and agree that the terms and conditions hereto are confidential and neither party may disclose any of such information without the prior written consent of the other party.</span><span style="color: black;">买卖双方认可并同意对本合同内的规定及条款保密，任何一方未经过对方书面许可，不得<span style="color: black;">泄密</span>给他人。</span></p>

Notice <span style="color: black;">通告</span></span><span style="color: black;">All notices, requests, consents, demands and other documents and communications required or permitted by this agreement shall be in written English or Chinese language and may be delivered personally or be sent by telex, facsimile, email or prepaid registered mail addressing to the other party.</span><span style="color: black;">本合同所有<span style="color: black;">触及</span>的<span style="color: black;">通告</span>，请求，同意，<span style="color: black;">需求</span>和其他文件以及必要或许可的沟通，将用中文或英文书写，<span style="color: black;">能够</span>采取送达。电报，传真，邮件，挂号信等方式送达对方。</span><span style="color: black;">17. The contract is written in both English and Chinese.
