营业地在区别国家（地区）的当事人之间订立的货物买卖合同统叫作为国际货物营销合同，或国际货物买卖合同(Contracts for
international sale of goods)。 国际货物买卖正是以这种合同为中心进行的。
而依法成立的合同，对双方当事人都拥有法律约
束力。当事人都应履行合同约定的义务。倘若出现不属于不可抗力或其他免责范围内的不符合同规定的行径或不行径，就形成违约，违约方就应赔偿对方因此呢而导致的失。如违约方不赔偿或不按对方的实质损失进行赔偿，
对方就有权视区别状况采取恰当办法以取得法律守护。因此，对外达成和履行营销合同不仅是一种商场行径，
况且是一种与国外客户双方的法律行径，据此，针对国际货物营销合同，必须从法律方向予以严肃对待

17人力不可抗拒原因：
因为水灾、火灾、地震、干旱、战争或协议一方没法预见、掌控、避免和克服的其他事件引起不可或暂时不可全部或部分履行本协议，该方不负责任。然则，受不可抗力事件影响的一方须尽快将出现的事件通告另一方，并在不可抗力事件出现15天内将相关公司出具的不可抗力事件的证明寄交对方。
Force Majeure：
Either party shall not be held responsible for failure or delay to
perform all or any part of this agreement due to flood, fire,
earthquake, draught, war or any other events which could not be
predicted, controlled, avoided or overcome by the relative party.
However, the party affected by the event of Force Majeure shall inform
the other party of its occurrence in writing as soon as possible and
thereafter send a certificate of the event issued by the relevant
authorities to the other party within 15 days after its occurrence.
18仲裁：
在履行协议过程中，如产生争议，双方应友好协商处理。若经过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，按照该会仲裁程序暂行规定进行仲裁。该委员会决定是终局的，对双方均有约束力。仲裁花费，除另有规定外，由败诉一方包袱。
Arbitration
All disputes arising from the execution of this agreement shall be
settled through friendly consultations. In case no settlement can be
reached, the case in dispute shall then be submitted to the Foreign Trad
Arbitration Commission of the China Council for the Promotion of
International Trade for Arbitration in accordance with its Provisional
Rules of Procedure. The decesion made by this commission shall be
regarded as final and binding upon both parties. Arbitration fees shall
be borne by the losing party, unless otherwise awarded.
